By accessing and using Claritum (claritum.ca), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our platform. Simonova Inc., a Canadian Federal Corporation ("we," "us," "our," or "Company"), operates this website and platform.

2. Description of Services

Claritum™ (trademark pending) is an AI-powered platform that provides negotiation intelligence tools and educational frameworks. Our services include:

• Free educational tools accessible without registration
• Registered user tools requiring email verification
• Premium tools and features available through subscription or one-time payment
• AI-generated analysis and negotiation coaching
• Educational frameworks informed by negotiation research and best practices

4. User Accounts

Claritum offers three tiers of access:

• Free Tools: Accessible without account creation or registration
• Registered Tools: Require user registration with a valid email address
• Premium Tools: Require payment and account setup

When registering an account, you agree to provide accurate information and maintain the confidentiality of your login credentials. You are responsible for all activities that occur under your account. If you suspect unauthorized access, notify us immediately at hello@claritum.ca.

5. Intellectual Property

All content, software, frameworks, templates, tools, and materials on Claritum are the exclusive property of Simonova Inc. and protected by Canadian and international copyright laws. This includes:

• Educational frameworks and methodologies
• AI-generated analysis and coaching tools
• Platform design and user interface
• Written content and documentation
• Code and technical implementation

Harvard Program on Negotiation Attribution: Our methodology is informed by published negotiation frameworks from the Harvard Program on Negotiation, an independent institution at Harvard University. Claritum is not affiliated with, endorsed by, or sponsored by Harvard University or the Harvard Program on Negotiation. We acknowledge their research and frameworks as foundational to our approach.

You may use Claritum solely for your personal, non-commercial purposes. You may not reproduce, distribute, transmit, modify, or create derivative works from any content without explicit written permission from Simonova Inc.

6. User Content

When you submit information, documents, or data to Claritum tools:

• Your input data is processed by AI (Anthropic Claude API) for analysis and coaching
• Data is not stored permanently on Claritum servers unless specified in our Privacy Policy
• Data processing is governed by Anthropic's data retention and privacy policies
• You retain ownership of your submitted content
• You grant Claritum a license to process and analyze your data to provide services

Do not submit sensitive personal information (social security numbers, financial account details, passwords, etc.) unless necessary for the specific tool. We are not responsible for unauthorized access or loss of submitted information.

7. Payment Terms

• Currency: All prices are quoted in Canadian Dollars (CAD)
• Payment Methods: Secure payment processing via Stripe
• 30-Day Money-Back Guarantee: If you are not satisfied with a paid tool or subscription within 30 days, you may request a full refund
• Subscription: Recurring subscriptions will auto-renew unless cancelled
• Cancellation: You may cancel subscriptions anytime through your account settings

Prices may change at any time. We will notify users of significant price increases to existing services with 30 days' notice. Continued use of the platform after the notice period constitutes acceptance of new pricing.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Simonova Inc.'s total liability shall not exceed the fees paid by you in the last 12 months
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• We are not liable for loss of data, revenue, profits, or business opportunities
• Claritum is provided "as is" without warranties of merchantability or fitness for a particular purpose
• We do not guarantee that using our tools will result in successful negotiation outcomes

Some jurisdictions do not allow limitation of liability, so this provision may not apply to you. In such cases, our liability shall be limited to the maximum extent permitted by law.

9. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Ontario, Canada.

10. Dispute Resolution

Before pursuing legal action:

1. Good Faith Negotiation: The parties will attempt to resolve disputes through informal negotiation
2. Mediation: If unresolved, disputes shall be submitted to mediation before a neutral mediator
3. Courts: If mediation fails, disputes shall be resolved in the courts of Ontario, Canada

Each party shall bear its own costs in dispute resolution, unless a court orders otherwise.

11. Modification of Terms

Simonova Inc. may modify these Terms of Service at any time. We will provide notice of material changes via email to registered users or by posting a prominent notice on our website. Changes take effect 30 days after notice. Your continued use of Claritum after the notice period constitutes acceptance of the revised terms.
